TERMS AND CONDITIONS FOR IRINA STUDIO INTERIOR DESIGN SERVICES

These terms and conditions ("Agreement") represent the entire agreement between [IRINA STUDIO] ("Designer") and Client ("Client") for the interior design services ("Services") to be provided by Designer to Client. By accepting these terms and conditions, the Client acknowledges that they have read, understood, and agree to be bound by these terms and conditions.

Scope of Services

1. The Designer shall provide the Client with interior design services, which may include, but are not limited to, space planning, color selection, furniture selection, lighting design, and project management.

Design Process

2. The Designer shall provide a design plan to the Client, which will include the overall concept, layout, and selection of finishes, fixtures, and furnishings. The Client shall have the opportunity to review and provide feedback on the design plan. The Designer shall make reasonable revisions based on Client feedback, as needed.

2.1 If any further design or project management work is required, clients must contact IRINA STUDIO directly to arrange it. Any client business projects must be allocated fairly to the studio's freelance interior designers, taking into account their current workload and availability, which needs to be managed through IRINA STUDIO. It is not permitted for the client or their referral/recommendation to contact the freelance interior designers directly to arrange further design/project management work. IRINA STUDIO may end any agreement and suspend or terminate a client's access to the site immediately and without notice if they fail to make payment, breach their terms and conditions, or for any other reason deemed necessary.

2.2 IRINA STUDIO provides design recommendations only, and the details of where to buy recommended products will be provided, but they cannot be held responsible for changes in price, stock issues, or accuracy of this information. If the design-only option is chosen, clients will need to implement the designs themselves. However, clients can request further help with purchases from the designer and will be charged accordingly. IRINA STUDIO reserves the right to cancel orders and refund clients if necessary.

Fees and Payment

3. The Designer's fee for the Services shall be as set forth in the design agreement ("Agreement"). The Designer may require a deposit at the start of the project, with the balance due upon completion of the Services. The Client agrees to pay all invoices in full within 5 working days days of receipt. In the event that the Client fails to make payment when due, the Designer may suspend work until payment is received.

3.1 IRINA STUDIO accepts payments via bank transfer, cheque, or cash. For the online-only service, full payment (non-refundable) is required before designs commence. For the personalized service, a 50% non-refundable deposit is required before commencement of the designs (maximum 5 working days from the invoice issue date). The remaining 50% balance is due on the design presentation day (maximum 5 working days from the invoice issue date). For the project management service, a 50% non-refundable deposit is required before commencement of any project management work (maximum 5 working days from the invoice issue date).

Changes and Additional Services

4. The Client understands that changes to the original design plan may incur additional fees. Any additional services outside the scope of the original Agreement must be agreed upon in writing by both parties and may result in additional fees.

Ownership of Work Product

5. The Designer retains ownership of all design plans and concepts, including any materials provided to the Client. The Client may use the design plans solely for the purpose of implementing the design plan in their space. The Client may not reproduce, sell, or distribute the design plans without the Designer's written consent.

Client Responsibilities

6. The Client is responsible for providing accurate and complete information to the Designer regarding their needs, preferences, and budget. The Client shall provide access to the space to be designed and shall ensure that the space is free from any hazardous or dangerous conditions that may prevent the Designer from performing the Services.

Project Timeline

7. The Designer shall provide the Client with an estimated timeline for the completion of the Services. The timeline is subject to change based on unforeseen circumstances, such as delays in material delivery, changes requested by the Client, or other factors beyond the Designer's control.

Termination of Agreement

8. Either party may terminate this Agreement at any time for any reason upon written notice to the other party. In the event of termination, the Client shall pay the Designer for all Services provided up to the date of termination.

Limitation of Liability

9. The Designer shall not be liable for any indirect, special, consequential, or incidental damages arising out of or in connection with the Services, even if the Designer has been advised of the possibility of such damages. The Designer's liability under this Agreement shall be limited to the amount of fees paid by the Client for the Services.

Confidentiality

10. The Designer shall keep confidential all information provided by the Client, including but not limited to, the Client's personal information, business information, and financial information. The Designer shall not disclose this information to any third party without the Client's written consent.

Entire Agreement

11. This Agreement constitutes the entire agreement between the parties and supersedes all prior
